Terms and Conditions

These Terms and Conditions govern your purchase and use of the Future Studies Academy annual membership, certification programs, learning materials, website, and related services.

Future Studies Academy is an operating name of Tiryaki & Tiryaki Inc., a Canadian corporation based in Toronto, Ontario. In these Terms, “Future Studies Academy,” “the Academy,” “we,” “us,” and “our” refer to Tiryaki & Tiryaki Inc.

By creating an account, purchasing a membership, clicking a box indicating acceptance, or accessing an Academy program, you agree to these Terms and our Privacy Policy.

If you purchase a membership on behalf of a company or another legal entity, you confirm that you have authority to accept these Terms on its behalf.

1. Eligibility

You must be at least 18 years old to purchase an Academy membership.

You agree to provide accurate and current account and payment information. If you create an account or purchase a membership on behalf of an organization, you represent that you are authorized to do so.

2. The Academy membership

Future Studies Academy provides certification programs and related learning resources through an annual membership.

Membership provides access to the certification programs included in the Academy during your active membership period. Programs are not offered for individual purchase unless expressly stated otherwise.

Each program remains a distinct learning experience with its own:

  • Curriculum and learning activities

  • Completion requirements

  • Certificate

  • Applicable approved Continuing Coach Education hours

You may complete one program at a time or move between included programs according to your professional needs.

3. Membership term and access

Membership begins immediately after successful payment and continues for one year.

Access is personal to the registered member. A membership may not be transferred, shared, resold, sublicensed, or used by another person.

You are responsible for keeping your login credentials secure and for all activity conducted through your account. If you believe your account has been accessed without authorization, use our Contact Us form promptly.

Unless otherwise stated, access to Academy programs and learning materials ends when the paid membership period expires.

Certificates properly earned during an active membership remain part of your completion record after membership access ends. This does not provide continuing access to the associated program or learning materials.

4. Annual renewal and payment

The membership fee is displayed in United States dollars unless another currency is expressly shown at checkout.

Your membership renews automatically each year using the payment method associated with your account unless you cancel before the next renewal date.

By purchasing the membership, you authorize the Academy and its payment providers to process the initial annual payment and subsequent annual renewal payments.

You are responsible for applicable taxes, duties, or similar charges identified during checkout.

We may change the membership price or structure. Any change affecting a future renewal will be communicated before it takes effect and will not alter a membership period that has already been paid for.

5. Cancelling future renewal

You may cancel at any time to prevent your next annual renewal. Access will continue until the end of your current paid membership period.

To cancel, use our Contact Us form and provide the email address associated with your membership.

Cancellation prevents future billing but does not automatically qualify the current payment for a refund.

6. Refund eligibility

An initial membership payment may be refunded when:

  • The request is submitted within 24 hours of purchase;

  • You have completed no more than 25% of any included program; and

  • You have not received a certificate for any included program.

Progress is determined using the learning activity recorded by the Academy’s learning platform.

The initial payment becomes non-refundable once the 24-hour request period or either participation threshold has been exceeded.

Renewal payments are non-refundable.

Refund requests must be submitted through our Contact Us form using the email address associated with the membership.

Approved refunds will normally be returned to the original payment method. Processing times may depend on the payment provider or financial institution.

Nothing in these Terms limits any consumer right that cannot legally be excluded or restricted.

7. Exceptional personal circumstances

If serious illness, bereavement, or another exceptional circumstance prevents you from continuing your learning, use our Contact Us form as soon as reasonably possible.

Requests are considered individually. Depending on the circumstances, the Academy may offer an extension, deferral, refund, or another reasonable accommodation at its discretion.

We may request appropriate supporting information before making a decision. An exceptional-circumstances request does not guarantee a particular outcome.

8. Programs, certificates, and CCE hours

Each program has its own learning activities and completion requirements. A certificate is awarded only after all applicable requirements have been completed and verified.

Completion of one program does not constitute completion of another program or of the Academy membership as a whole.

Where a program provides approved Continuing Coach Education hours, the applicable number and category will be identified in the program information.

The Academy provides certificates and completion documentation based on the approval and program requirements in effect at the relevant time. Members remain responsible for confirming how a certificate or CCE hours apply to their own credential, renewal, employer, professional association, or credentialing body.

A third-party organization retains responsibility for determining whether a certificate, program, or CCE hours satisfy its requirements. The Academy cannot guarantee acceptance by an employer, regulator, credentialing body, or other third party.

The Academy may review learning records, assessments, assignments, submitted work, or other completion evidence before issuing a certificate.

9. New and updated programs

The Academy plans to add at least one new course or program each year. Active members will be notified when new learning becomes available and will receive access during their active membership period without an additional membership fee, unless an offering is expressly identified as separate.

The Academy may update program titles, instructors, lessons, activities, assessments, completion requirements, CCE information, or supporting resources to maintain quality, relevance, or professional standards.

When a material change affects a program already in progress, we will make reasonable efforts to communicate the change and provide an appropriate completion path.

The timing, format, title, and subject of future programs may change according to academic, professional, technical, accreditation, or operational requirements.

10. Existing enrollments

A learner who enrolled in a course or program before it became part of the Academy membership remains subject to the access, payment, and completion conditions that applied to the original enrollment unless a different arrangement is communicated and accepted.

The introduction or modification of the Academy membership does not automatically replace, extend, or cancel an existing enrollment.

Any material transition affecting existing learners will be communicated directly.

11. Learner conduct and academic integrity

You agree to participate honestly, respectfully, and professionally.

You may not:

  • Share your account or allow another person to access programs through it;

  • Ask another person to complete learning activities or assessments in your name;

  • Submit work created by another person as your own;

  • Plagiarize or misrepresent the authorship of submitted work;

  • Copy, distribute, publish, or disclose restricted assessments, answers, or member-only materials;

  • Attempt to gain unauthorized access to the website, platform, accounts, or data;

  • Interfere with the operation or security of the website or learning platform;

  • Harass instructors, staff members, contractors, or other learners;

  • Misrepresent a certificate, credential, affiliation, or level of completion; or

  • Use Academy materials for unlawful, misleading, or unauthorized commercial purposes.

Artificial-intelligence tools may be used only where permitted by the applicable program or activity. You remain responsible for the accuracy, originality, attribution, and integrity of all work submitted in your name.

The Academy may investigate suspected misconduct and may withhold or revoke a certificate, restrict access, or terminate an account where a material violation is established.

12. Intellectual property

All Academy content, including videos, written materials, frameworks, methodologies, graphics, assessments, assignments, recordings, trademarks, downloads, and program designs, is owned by or licensed to Tiryaki & Tiryaki Inc. and is protected by applicable intellectual-property laws.

Your membership grants you a limited, personal, non-exclusive, non-transferable, and revocable right to use Academy materials for your own learning and professional development during the permitted access period.

You may not, without prior written permission:

  • Reproduce, sell, publish, sublicense, distribute, or publicly display Academy content;

  • Modify or create derivative commercial products from Academy materials;

  • Remove copyright, trademark, or ownership notices;

  • Record or distribute live or recorded learning sessions;

  • Share assessments, activities, facilitator materials, or restricted resources;

  • Reverse-engineer or claim ownership of an Academy methodology or learning framework; or

  • Use Academy content to create, train, or develop a competing course, product, dataset, artificial-intelligence system, or machine-learning model.

An authorized downloadable resource may be retained for personal use after membership ends unless otherwise stated. It may not be redistributed or incorporated into another commercial learning product.

All rights not expressly granted under these Terms are reserved by Tiryaki & Tiryaki Inc. and its licensors.

13. Member submissions and feedback

You retain ownership of original work you submit through an Academy program.

You grant the Academy and its service providers a limited right to store, process, reproduce, and display submitted work as reasonably necessary to deliver the program, review completion, provide feedback, maintain learning records, and operate the platform.

Any public use of identifiable learner work, testimonials, or personal stories for marketing or promotional purposes will require appropriate permission.

If you voluntarily provide suggestions or feedback about the Academy, you permit us to use that feedback to improve our programs and services without creating a payment obligation to you.

14. Privacy and personal information

Personal information is collected, used, stored, and disclosed in accordance with our Privacy Policy, available through the footer of the Academy website.

Program progress, account information, submitted work, communications, payment records, certificates, and other learning information may be processed as reasonably necessary to:

  • Provide and administer the membership;

  • Process payments;

  • Verify program completion;

  • Issue and maintain certificates;

  • Provide learner support;

  • Improve Academy programs;

  • Maintain security and academic integrity; and

  • Satisfy applicable recordkeeping obligations.

The Academy may use third-party providers to host programs, process payments, deliver communications, and provide other supporting services. Those providers may process information as necessary to perform their services.

15. Technology and availability

Academy programs are delivered through LearnWorlds and may also rely on third-party payment, communication, video, scheduling, or content services.

We take reasonable steps to maintain reliable access and protect the operation of the Academy. However, we do not guarantee that the website, platform, or every feature will be continuously available, uninterrupted, secure, or error-free.

Temporary interruptions may occur because of maintenance, updates, security measures, internet availability, service-provider interruptions, or circumstances outside the Academy’s reasonable control.

If a material technical problem affects your access, use our Contact Us form with the email address associated with your membership and include sufficient information for us to investigate.

The Academy is not responsible for problems caused by a member’s device, software, internet connection, security settings, or incompatible technology.

16. External links and third-party resources

The website and programs may contain links to third-party websites, publications, tools, videos, services, or resources.

Unless expressly stated otherwise, these third parties are not controlled by the Academy. A link or reference does not necessarily constitute endorsement.

The Academy is not responsible for the availability, accuracy, content, privacy practices, security, or services of third-party websites or resources. Your use of third-party services may be governed by separate terms and policies.

17. Educational purpose and professional outcomes

Academy programs are provided for education, professional development, and informational purposes.

Participation does not guarantee employment, promotion, income, business results, professional licensing, credential renewal, or acceptance by an employer or third-party organization.

Members remain responsible for deciding how to interpret and apply the material and for complying with the requirements of any employer, regulator, credentialing organization, or professional body relevant to them.

Academy content does not constitute legal, medical, psychological, financial, employment, or other regulated professional advice. Where appropriate, you should obtain advice from a qualified professional concerning your specific circumstances.

18. Suspension and termination

The Academy may temporarily suspend access while investigating:

  • Payment problems;

  • Account-security concerns;

  • Suspected account sharing;

  • Academic-integrity concerns;

  • Intellectual-property infringement;

  • Abusive or disruptive conduct; or

  • A suspected violation of these Terms.

The Academy may terminate access for fraud, serious or repeated misconduct, unauthorized distribution of content, material infringement of intellectual property, abusive conduct, misuse of a certificate, or another material breach of these Terms.

Where reasonably appropriate, we will notify you of the concern and provide an opportunity to respond.

Refunds are not ordinarily provided when access is suspended or terminated because of a material violation by the member.

Provisions concerning intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, and other provisions that by their nature should continue will survive the expiration or termination of membership.

19. Discontinuation by the Academy

The Academy may discontinue a program, platform feature, or the membership itself where reasonably necessary.

If a program is discontinued, we may provide a reasonable alternative, revised completion path, extended access period, replacement program, or another appropriate accommodation.

If the Academy permanently discontinues the membership during an active paid period and cannot provide a reasonable alternative, the Academy may provide a proportionate refund based on the unused portion of the affected membership period.

This section does not apply where access is suspended or terminated because of a member’s breach of these Terms.

20. Force majeure

The Academy is not responsible for a failure or delay in performing its obligations where the failure or delay is caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, epidemic, pandemic, government action, labour disruption, widespread infrastructure failure, power or communications failure, or significant failure of an essential third-party service.

Where such an event materially affects learning delivery, the Academy may extend access, reschedule affected activities, provide an appropriate replacement, or take another reasonable remedial action.

We will make reasonable efforts to communicate material disruptions, reduce their effect on members, and resume normal delivery when reasonably possible.

21. Corporate and group arrangements

Corporate training, private cohorts, team access, customized programs, consulting, and other professional services may be governed by a proposal, order form, statement of work, or separate written agreement.

If a corporate or professional-services agreement conflicts with these general Terms, the separate written agreement will apply to the extent of that conflict.

These Terms do not authorize one organization to purchase an individual membership and share it among multiple employees or participants.

22. Electronic communications

By creating an account or purchasing a membership, you agree to receive transactional communications concerning your account, payments, renewal, access, programs, certificates, policy changes, security, and learner support.

Transactional communications are necessary to administer your membership and are separate from optional marketing communications.

Where you have opted to receive marketing communications, you may withdraw that consent using the unsubscribe option provided or through our Contact Us form. Withdrawing from marketing communications will not prevent necessary transactional communications.

Electronic notices sent to the email address associated with your account will be considered received when sent, unless the Academy receives notice that delivery failed.

You are responsible for maintaining an accurate email address and checking relevant spam or filtered-email folders.

23. Disclaimers

To the maximum extent permitted by applicable law, the website, programs, learning materials, and related services are provided on an “as is” and “as available” basis.

The Academy does not warrant or guarantee that:

  • Every program or feature will meet your individual requirements;

  • The website or platform will always be uninterrupted or error-free;

  • Every item of information will remain current or complete;

  • Participation will produce a particular personal, professional, educational, or business outcome; or

  • A third party will accept a certificate or CCE hours for a particular purpose.

These disclaimers do not exclude any warranty, condition, or right that cannot legally be excluded.

24. Limitation of liability

To the maximum extent permitted by applicable law, Tiryaki & Tiryaki Inc., its affiliates, directors, officers, employees, instructors, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or connected with the Academy membership, programs, website, or learning materials.

This includes loss of profits, revenue, business opportunity, goodwill, anticipated savings, or data, regardless of the legal basis of the claim and even if the possibility of such loss was known.

To the maximum extent permitted by applicable law, the Academy’s total aggregate liability arising from or relating to a membership will not exceed the amount paid by the affected member to the Academy for the membership period giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

25. Changes to these Terms

The Academy may update these Terms to reflect changes to its programs, membership structure, technology, business operations, or legal obligations.

If a change materially affects an active paid membership, we will provide reasonable notice through email, the learning platform, or the Academy website before the change takes effect.

Changes will normally apply prospectively and will not remove a certificate already properly earned.

The effective date or last-updated date shown at the top of the Terms will identify the current version.

If you continue using the Academy after revised Terms take effect, you will be considered to have accepted the revised Terms, subject to any rights that cannot be waived.

26. General legal terms

Entire agreement

These Terms, together with the Privacy Policy, the information presented at checkout, and any additional terms expressly applicable to a particular program, constitute the agreement governing your Academy membership.

They replace prior discussions, representations, or understandings concerning that membership, except for an existing enrollment or separate written agreement expressly preserved under these Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited or modified only to the extent necessary. The remaining provisions will continue in effect.

No waiver

A failure or delay by either party to exercise a right or enforce a provision does not waive that right or provision. A waiver is effective only when made clearly and in writing by the party granting it.

Assignment

You may not transfer or assign your membership or your rights under these Terms without the Academy’s prior written consent.

The Academy may assign these Terms in connection with a corporate reorganization, merger, acquisition, transfer of business, or sale of substantially all relevant assets, provided that the successor assumes the applicable obligations.

Relationship

Nothing in these Terms creates an employment, partnership, joint-venture, fiduciary, franchise, or agency relationship between a member and the Academy.

Headings

Section headings are included for convenience and do not affect the interpretation of these Terms.

27. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Before beginning formal proceedings, you and the Academy agree to make a reasonable effort to resolve the matter through direct communication.

Any legal proceeding arising from these Terms will be brought in the courts of Toronto, Ontario, unless applicable consumer-protection rules permit or require otherwise.
